FREE AUDITIONS

Please be advised that you must meet the following eligibility requirements (which may be changed at any time by American Soul Star™ in its sole discretion) (collectively, the “Eligibility Requirements”) in order to proceed with the application process and to participate in the Program:

I. You must legally hold adequate documentation of proper citizenship to your home country and rights or freedoms to travel to Atlanta, GA (i.e. passport) to be eligible to participate and/or accept the prize, if awarded. You must provide American Soul Star™ with any documentation or proof that American Soul Star™ requires to confirm the foregoing, including, without limitation, (i) a valid US passport or combination of valid driver’s license and valid social security card, and (ii) any travel permits required by the state (if any).

II. You must be at least sixteen (16) years of age by August 31, 2024. All applicants who meet this criterion, including all persons significantly older than sixteen (16) years of age, are welcome and encouraged to apply to be a participant. All applicants younger than eighteen (18) years of age must have all parents/legal guardians complete the Parental/Legal Guardian Consent attached to this application.

III. You must not now be a candidate for public office and must agree not to become a candidate for public office until one (1) year after the initial broadcast or other exhibition of the final episode of the Program in which you appear, if selected as a participant. If there is any change in this representation prior to the initial exhibition of the Program in which you appear, you must immediately notify Avant-Garde Entertainment, LLC (defined hereinafter) at info@americansoulstar.com. Becoming a candidate before or around the time of the initial exhibition of the Program may under certain circumstances have legal implications on the exhibitor’s ability to exhibit the Program. “Avant-Garde Entertainment, LLC” is defined as Avant-Garde Entertainment, or any of its parent, subsidiary or affiliated entities, including, without limitation, its broadcast networks and studios, cable networks and studios, film businesses, digital businesses, parks and resorts.

IV.  You must voluntarily submit to and complete a background check, in accordance with applicable laws and execute all documents required by American Soul Star™ in connection with such background check.

V. To accept an invitation to be a participant, you must timely complete and return the Participant Agreement, Release and Arbitration Provision and all exhibits, schedules and attachments thereto that will be furnished to you by American Soul Star™ and will include, among other things, release forms and waivers for review and signature by you and/or your family members.

VI. If you are selected as a participant, you must be willing to travel to and reside at one or more undisclosed locations in Georgia for at least one week at any time in October 2024 (or as otherwise scheduled by American Soul Star™). Economy travel to be paid for by American Soul Star™.

VII. The foregoing eligibility requirements may be amended, revised or changed at any time and in any fashion in American Soul Star™ sole discretion.

**Minor applicant’s parents or legal guardians must sign a Parental/Legal Guardian Consent in order for the minor applicant to be considered for participation in the Program.

I. As between the Applicant and American Soul Star™, American Soul Star™ shall solely own all rights in and to the Program, including without limitation the copyright in the Program and any advertising or promotional materials for the Program. American Soul Star™ shall have all rights to use the Program or any part thereof, including without limitation images and/or footage including or incorporating the IP, in any and all manners and media, whether now known or hereinafter devised, throughout the universe in perpetuity, in any and all languages. The Applicant also consents to the use of the IP in connection with the advertising, promotion, marketing and any other exploitation of the Program and Program sponsors.

II.  Applicant hereby waives any right that he/she may have to inspect or approve the finished Program or any advertising or promotional materials that may be used in connection therewith. In no event shall the Applicant have the right to terminate the rights granted to American Soul Star™ hereunder or to enjoin, restrain, or otherwise interfere with the development, production, distribution, broadcast, advertising, promotion or other exploitation of the Program or the rights granted to American Soul Star™ herein.

III. The Applicant hereby represents and warrants that: (i) it is the owner and/or authorized representative of the owner of the IP and that it has the full right, power and authority to execute this Intellectual Property Release and to grant American Soul Star™ the permission and rights herein granted, and that no one else’s permission or consent is required for American Soul Star™’s exercise of any of its rights hereunder, and (ii) that no credit, acknowledgment, payment, contribution, monies and/or any other consideration is required to be paid or provided to the Applicant and/or any other person and/or entity (including but not limited to any guild, union and/or other collective bargaining organization) for the grant of rights set forth herein or for American Soul Star™’s use of the IP as provided in this Intellectual Property Release. The Applicant, and its representatives, successors and assigns hereby absolutely, unconditionally and forever release and discharge American Soul Star™, Avant-Garde Entertainment, LLC (and its affiliated and related entities), sponsors of the Program, any television network broadcasting the Program, any of their respective direct or indirect parents subsidiaries, affiliated and related entities, and the respective officers, directors, employees, shareholders, contractors, members, representatives, agents, licensees, successors and assigns of each of the foregoing, and all other persons and entities connected with the Program, (collectively, the “Releasees”), and each of them, from any and all claims, actions, causes of action, proceedings, suits, awards, judgments, damages, liabilities, losses, costs and expenses of any kind (including, without limitation, attorneys ’fees and union fees, if any) arising out of, resulting from, or by reason of, this Intellectual Property Release, the exercise of any of the rights granted hereunder or the use of the IP in or in connection with the Program or otherwise (including without limitation, claims based on patent, trademark or copyright infringement, rights of publicity and privacy, defamation and false/negative light). The Applicant shall defend (at Releasees ’option), indemnify and hold harmless Releasees, and each of them, from and against any and all claims, actions, damages, liabilities, injuries, damages, expenses, and losses caused by or arising out of or related to (i) any act or omission of the Applicant which is a breach of any of the provisions of this Intellectual Property Release; (ii) a breach of any of the Applicant’s representations, warranties, agreements or obligations hereunder; (iii) the use by any of the Releasees of the IP or other materials or images provided by the Applicant; (iv) the exercise by any of the Releasees or any of its rights hereunder; (v) the appearance or use in and in connection with the Program of the IP or any other materials or images that were provided to American Soul Star™ by the Applicant (including, but not limited to, any logos and trademarks), and (iv) the negligence or willful misconduct of the Applicant or the Applicant’s agents, employees, contractors or representatives.

IV.  The Applicant acknowledges that in no event shall American Soul Star™ be obligated to use the IP in or in connection with the Program or otherwise or to exercise any other rights, licenses or privileges granted to American Soul Star™ hereunder.
